Political Spending

Introduction

Cerner Corporation and its subsidiaries (the “Company” or “we” or “our”) believe active participation in the political process is essential to our long-term success. The Company maintains policies and procedures consistent with our Global Code of Conduct (available on our Corporate Governance page) that support continued compliance with applicable political laws and regulations. Additionally, contributions related to U.S. federal election campaigns are further subject to the Company’s Policy on Federal Political Activity by Cerner and Cerner Associates.

Corporate and Cerner Corporation Political Action Committee (the Cerner PAC) spending are managed by the Cerner Government Affairs Team and disbursements are approved by a steering committee comprised of Cerner PAC donors (the “Cerner PAC Board”) to ensure compliance with these corporate guidelines. The Chief Financial Officer has final authority over the Company's corporate and Cerner PAC political spending decisions.

Political Spending Guidelines

All political activity by the Company is done to promote the interests of the Company and contributions are made without regard for the personal political preferences of any Company employee, officer or director. When evaluating potential recipients of the Company’s political spending, we strive to support candidates and entities that are generally supportive of our interests or that are aligned with our mission – “to contribute to the systemic improvement of health care delivery and the health of communities”. We encourage our associates to exercise their rights of citizenship by voting, making personal contributions, as permitted by law, and being otherwise politically active in support of candidates or parties of their selection. Any such political activity pursued by our associates is done voluntarily, with their own resources and on their own time.

Disclosure

We are committed to transparency with regard to our political activity, and post to cerner.com a Political Activity Report, updated annually, which outlines direct U.S. political contributions made by the Company, U.S. political contributions made by the Cerner PAC, and payments to trade associations authorized by the Cerner Government Affairs Team.

We also disclose contributions and expenditures through filings as required by U.S. Federal and state laws. Information regarding contributions by the Cerner PAC is available on the Federal Election Commission website: https://www.fec.gov/.
